Terms & Conditions

1. Introduction and Acceptance
These Terms & Conditions ("Terms") constitute a legally binding agreement under the Indian Contract Act, 1872 between the business entity registering an OpsCorp account ("Customer", "you", "your tenant") and the operator of the OpsCorp platform ("OpsCorp", "we", "us"). By creating a tenant, logging in, or continuing to use OpsCorp after being presented with these Terms, you accept them on behalf of your organisation. If you do not have authority to bind your organisation, do not proceed.
2. The Service
OpsCorp is a field-service-management Software-as-a-Service platform providing, among other things: lead and customer management, service ticketing, job scheduling and dispatch, annual maintenance contract (AMC) tracking, technician management, inventory and procurement, quotes/estimates, and invoicing ("Service"). Features made available to your tenant depend on your subscription plan and enabled modules.
3. Accounts, Tenants and Users
3.1 A "tenant" is your organisation's isolated workspace within OpsCorp. Data created within a tenant is logically separated from every other tenant.
3.2 You are responsible for all activity under your tenant, including actions taken by administrators, technicians, and other users you invite or provision.
3.3 You must provide accurate registration information and keep login credentials confidential. Notify us promptly of any suspected unauthorised access.
4. Subscription, Fees and Payment
4.1 Access to paid modules requires an active subscription plan as described at the time of purchase or renewal.
4.2 Fees are exclusive of applicable taxes (including GST) unless stated otherwise, and are payable in Indian Rupees unless otherwise agreed in writing.
4.3 Non-payment may result in suspension of access to paid features after reasonable notice, without affecting accrued payment obligations.
5. Customer Data
5.1 You retain ownership of the business data you input into OpsCorp (customer records, job data, inventory, financial records, etc.) ("Customer Data").
5.2 You grant OpsCorp a limited licence to host, process, and display Customer Data solely to provide and support the Service.
5.3 You are responsible for ensuring you have the necessary rights and consents to upload any personal data of your own customers, employees, or technicians into the Service, and for your own compliance with applicable law in respect of that data.
6. Acceptable Use
Use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
OpsCorp and its licensors retain all right, title, and interest in the platform software, design, and branding. No rights are granted to you except the limited right to access and use the Service as permitted by these Terms.
8. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information of similar nature, and will not disclose it to third parties except as necessary to perform under these Terms or as required by law.
9. Warranties and Disclaimers
The Service is provided on an "as is" and "as available" basis. Except as expressly stated, OpsCorp disclaims all warranties, express or implied, to the maximum extent permitted by applicable law, including fitness for a particular purpose and non-infringement. OpsCorp does not warrant that the Service will be uninterrupted or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, OpsCorp's aggregate liability arising out of or relating to these Terms or the Service shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, or consequential damages.
11. Suspension and Termination
11.1 We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law, ordinarily with prior notice except in cases of urgent risk (security, fraud, or legal compliance).
11.2 You may terminate by ceasing use and closing your account in accordance with your subscription terms. Certain obligations (confidentiality, payment for services rendered, limitation of liability) survive termination.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service or applicable law. Material changes will be presented to users for re-acceptance as a new version before continued access is permitted, consistent with our version-tracking process described in the Legal & Compliance section of the platform.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rights, courts at the location of OpsCorp's registered office shall have exclusive jurisdiction, and the parties will first attempt good-faith resolution before initiating formal proceedings.
